Under the direction of the Associate General Counsel, the Legal Counsel actively participates in the U.S. legal affairs of the company’s interstate and intrastate natural gas pipeline business. This role provides advice and guidance on all commercial and FERC regulatory U.S. legal matters affecting natural gas pipeline transportation and storage.

What You Will Do:

  • Review, draft, and negotiate various natural gas transportation agreements, precedent agreements, OBAs, interconnection agreements, confidentiality agreements, negotiated rate agreements, assignment assumption agreements and other related agreements.

  • Collaborate with regulatory personnel and outside counsel on pipeline transportation matters, including reviewing FERC orders, preparing responsive documents, and implementing compliance plans.

  • Work closely and maintain effective communication with commercial and transportation services departments.

  • Ensure company compliance with FERC regulations, including Standards of Conduct.

  • Participate in developing pleadings and discovery documents for FERC hearings, certificate applications, tariff revisions, and other matters.

  • Conduct legal research and draft routine documents on FERC issues.

  • Conduct legal research for senior attorneys and shadow the project work.

  • Support regulatory reporting compliance and interpret tariffs and Statements of Operating Conditions.

  • Advise management on policy changes due to regulatory developments.

  • Manage routine “walk-in” legal business, including: review and approve credit documents, review and approve LINK contracts and other Contract Admin support, advise on Contracts Policy, capacity release procedures, contract extension rights, and ROFR/nomination differences, support document management (e.g., SharePoint libraries) and TeamConnect matter creation, attend ManCom meetings and support ManCom Consents, provide legal counsel on FERC compliance matters, including filings, audits, and enforcement actions, and support litigation and dispute resolution related to pipeline operations.
     

Who You Are:

Required:

  • Juris Doctorate from an ABA-accredited law school.

  • Member in good standing of the Bar of at least one state in which the company conducts business.

  • Minimum of 4-7 years of legal experience in relevant substantive areas of practice.

  • Highly developed skills in issue identification, analysis, and resolution.

  • Strong interpersonal and leadership skills with a commitment to customer service and teamwork.

  • Self-directed with the ability to quickly assimilate role, responsibilities, and organizational culture.

  • Demonstrated ability to manage complex legal matters independently and collaboratively.

  • Proficiency in word processing and legal research tools.
     

Preferred Qualifications

  • Strong academic performance

  • Experience representing FERC-regulated interstate, intrastate, Section 311, and Hinshaw pipelines and storage facilities.

  • Experience with FERC audit proceedings and judicial appeals related to FERC matters.

  • Experience with permitting and regulatory strategy for FERC certificate proceedings.

Physical Requirements (Include but are not limited to):

Grasping, kneeling, light – moderate lifting (objects up to 20 pounds), reaching above shoulder, repetitive motion, typing, sitting, standing, visual requirement (able to see screens, detect color coding, read fine print), hearing requirement and the ability to sit at a computer for long periods of time.
