We are looking for a Legal Counsel to join our team who is specialized in providing legal support for complex commercial transactions, M&A and forming, structuring, and managing of joint ventures/partnerships (JVs)! This Legal Counsel role will report to the Managing Legal Counsel in the Liquids Pipelines & Corporate Law group of Enbridge’s Law Department, and will be a member of the Major Transactions group, a small group of inhouse lawyers who provide legal support to (i) Enbridge’s Corporate Development Office, (ii) Business Development (BD) Group(s) at Enbridge’s various business units, and (iii) other Enbridge functional departments in connection with corporate or commercial matters. This position is located at Enbridge’s Calgary, Edmonton or Houston offices.
Particular focus of this position will be on matters related to commercial transactions, mergers, acquisitions, divestitures, and JV’s, including assisting in structuring transactions and conducting due diligence, and providing legal support with drafting, reviewing, negotiating, and interpreting related contracts. This position will also provide legal support with respect to antitrust/competition laws in connection with M&A transactions and BD projects. What You Will Do:

Provide legal support with structuring, drafting, reviewing, negotiating and interpreting contracts related to commercial transactions, mergers, acquisitions, divestitures, and JV’s involving Enbridge Inc. and its affiliates.

Assist with due diligence in connection with M&A transactions or BD projects.

Provide legal support with respect to antitrust/competition laws in connection with M&A transactions and BD projects.

Support more senior inhouse lawyers of the Major Transactions group who are leading Enbridge legal teams (both inhouse and external counsel) in connection with M&A transactions and BD projects, including coordinating support from other Enbridge inhouse lawyers and subject matter experts.

Support the management of the use of external legal counsel on M&A transactions and BD projects to ensure provision of services in an effective and cost-efficient manner in accordance with Enbridge’s external counsel guidelines.

Advise Enbridge representatives on potential legal ramifications/risks of a course of action involving an Enbridge company, and propose possible mitigations to such risks.

Advise Enbridge representatives about legal developments and trends relevant to M&A transactions and BD projects.

Apply independent judgment in recommending a course of action for an Enbridge company.
Who You Are:
-
Law Degree from an accredited Canadian or U.S. law school.

A member in good standing with the Alberta or Texas Bars.

Minimum of three (3 )years of legal transactional experience at a major law firm.

Ability (physically and legally) to work at Enbridge’s Calgary, Edmonton or Houston office.

Ability to identify and respond to legal business issues on short notice, and under time constraints.
-
Ability to work independently, make decisions and meet multiple deadlines in a dynamic work environment, under tight deadlines.

Excellent interpersonal and communication skills.

Excellent organizational, project management and facilitation skills.

Meticulous attention to detail, but pragmatic and business-oriented in approach.
Physical Requirements:
Included but not limited to: Grasping, kneeling, light – moderate lifting (objects up to 20 pounds), reaching above shoulder, repetitive motion, typing, sitting, standing, visual requirement (able to see screens, detect color coding, read fine print), hearing requirement and the ability to sit at a computer for long periods of time.
